hostile acquisition
Forced corporate takeover
A hostile acquisition is a corporate takeover pursued against the wishes of the target company's management or board.
The acquiring company bypasses leadership by appealing directly to shareholders—through a tender offer to buy their shares or a proxy fight to replace board members who oppose the deal.
The tech giant launched a hostile acquisition after friendly merger talks collapsed.
